The Bi123 platform (hereinafter referred to as Bi123) is a product of INSTA SUCCESS TECHNOLOGY CO., LIMITED, which includes the 'Bi123 IOS end', 'Bi123 Android end', and 'Bi123 WEB end'. In order to protect your rights and interests, please read all the contents of this service agreement (hereinafter referred to as 'this agreement') in detail before using the Bi123 membership service, especially the terms displayed in bold form that may have a significant relationship with your rights and interests, including membership rights, responsibilities of both parties, dispute resolution methods, etc. Please pay attention to the key reading. If you believe that the bold terms in this agreement may harm your interests, please carefully read them again to ensure that you have fully understood and accepted the bold terms before continuing to use Bi123 membership services. Minors should read with the accompanying legal guardian
By purchasing and/or using Bi123 membership services, you confirm your understanding and agreement to accept any terms of this agreement. If you do not accept any of the terms of this agreement, you should immediately stop using the Bi123 membership service
Acceptance and Amendment of the First Service Agreement
1.1 The content of this agreement includes the main body of the agreement, the 'Bi123 User Agreement', the 'Bi123 Privacy Terms', and various rules that have been published or may be published/updated in the future by Bi123. All rules are an integral part of this agreement and have the same legal effect as the main body of the agreement. In case of any conflict between the main body of this agreement and the aforementioned rules, the main body of this agreement shall prevail. Unless otherwise explicitly stated, your use of Bi123 membership services is subject to this agreement
1.2 According to the development of the Internet and changes in relevant laws, regulations, and normative documents, or if the development of Bi123 business requires revisions to this agreement and related service terms, they will be announced on the Bi123 platform. You can go to check the latest version of the agreement terms. After modifying the above terms in Bi123, if you do not accept the modified terms, you can choose to terminate the use of paid membership services and terminate the service agreement without a refund. If you continue to use the paid membership service, it will be deemed that you have accepted the modified agreement
Second definition
2.1 Bi123 Member: refers to the data value-added service provided by Bi123 to you. After becoming a Bi123 member, you can enjoy certain privileges, discounts, or participate in activities in accordance with this agreement. The specific service content is subject to the actual provision of Bi123. The ownership and operation rights of Bi123 members, as well as the formulation rights of Bi123 membership systems and activities, belong to INSTA SUCCESS TECHNOLOGY CO., LIMITED. INSTA SUCCESS TECHNOLOGY CO., LIMITED has the right to interpret within the scope of legal provisions
2.2 'User' or 'You' refers to an individual or a single entity who enjoys Bi123 membership service
The third procedure for becoming a Bi123 member
If you wish to use the Bi123 membership service, you must first log in to your Bi123 account, or register and log in to your Bi123 account. On the basis of successfully logging into the Bi123 account, apply to activate the Bi123 membership service. If you choose to log in to Bi123 data using another third-party account, you should ensure the stability, authenticity, and availability of the third-party account. If you are unable to log in to Bi123 data due to third-party account reasons (such as being banned), you should contact the company to which the third-party account belongs. The Bi123 account you logged in to when using the Bi123 membership service is the only basis for INSTA SUCCESS TECHNOLOGY CO., LIMITED to confirm your identity
3.2 You can activate the paid membership service by completing payment through Bi123 approved payment methods on the activation service interface. When opening a service, you should carefully check the specific information such as account name, membership fees, service type and duration. Due to the unique nature of internet services and relevant management regulations, Bi123 members are digital products. If your personal reasons result in incorrect account charging, incorrect service activation/duration, incorrect purchase, or inability to enjoy membership benefits, Bi123 will not refund the fees already charged
3.3 After successfully opening a Bi123 membership, users can enjoy multiple exclusive privileges and services, subject to the actual provision of Bi123. The validity period of a member is calculated from the date of opening the membership, and the specific validity period can be viewed on the member's personal page. If a member renews the membership period or renews the membership period through other means, the validity period will be correspondingly extended. If a member fails to renew their membership in any way after its expiration, Bi123 has the right to stop providing corresponding membership benefits
3.4 Bi123 can adjust the content of Bi123 membership privileges from time to time based on business development and changes. You should pay attention to and understand the changes in privilege content and policies in a timely manner, and understand and agree to the adjustment of Bi123. Before adjusting the privileges by Bi123, you may have enjoyed or are currently enjoying certain service content or rights. You understand and accept that adjusting the privileges by Bi123 may have an impact on the rights you have enjoyed or are currently enjoying, and agree to use the adjusted privilege content without requiring Bi123 to bear any liability for breach of contract
Article 4: Relevant provisions on Bi123 membership
4.1 Bi123 membership service is limited to self use of the application account and cannot be transferred between different Bi123 accounts
During the validity period of the Bi123 membership that has been activated, if you voluntarily cancel or terminate your Bi123 membership midway, you will not receive a refund of the Bi123 membership fee. After the cancellation/termination of Bi123 membership, you will no longer be able to participate in activities organized by Bi123 and enjoy various privileged and value-added services provided by Bi123, that is, you will no longer enjoy Bi123 membership services
4.3 If a member does not use the Bi123 membership rights, it shall not be deemed as a waiver of the corresponding rights. But if a member violates various management regulations of Bi123, or if there are abnormal situations in the member account, Bi123 has the right to take restrictions or freezing measures on the corresponding member account according to the management regulations. In this case, the account functions and membership rights of members will be restricted
Any disputes arising from reasons attributable to Bi123 members are not related to Bi123, and members shall bear corresponding responsibilities on their own. If such disputes damage the legitimate rights and interests of Bi123 Data, Bi123 Data has the right to cancel the membership of the member and not refund the membership fee already collected. Meanwhile, Bi123 has the right to protect its own rights and interests through legal means
Article 5 Bi123 Member Usage Rules
5.1 You confirm that you are a natural person, legal person, or other organization with full civil capacity and full civil capacity, and have the ability to independently assume responsibility for all actions of using Bi123 membership services. If you do not possess the aforementioned subject qualifications, Bi123 has the right to pursue compensation from your guardian or other responsible parties when required by law or this agreement to assume responsibility. If you are a natural person, you should provide Bi123 with your real name, address, email address, contact phone number, and other information; If you are a legal person or other organization, you should provide information such as name, address, contact person, etc
5.2 You shall be responsible for the proper custody, use, and maintenance of the account, account information, and account password obtained through your Bi123 application, and shall be responsible for all activities and behaviors carried out by the account. Gifts, borrowing, leasing, transfer, or sale of the account are prohibited. If your account password is leaked due to reasons other than Bi123, or if you cause losses due to improper storage, use, or maintenance, Bi123 shall not be liable for any related responsibilities
If you commit one of the following actions, Bi123 has the full right to terminate the Bi123 membership service without notifying you, and has the right to restrict, freeze, or terminate the use of Bi123 accounts associated with the service. Bi123 does not require any compensation or refund, and any responsibility arising from this will be borne by you independently. Therefore, if any losses are caused to Bi123 or a third party, you shall be responsible for full compensation:
(1) Obtaining Bi123 membership services for oneself or others for the purpose of profit
(2) Provide the Bi123 member account to third parties for use in any form such as renting, lending, or selling
(3) Use any content obtained through Bi123 membership services for purposes other than personal learning, research, or appreciation
(4) Stealing someone else's Bi123 account for Bi123 member registration or use;
(5) Obtaining Bi123 membership services through any robot software, spider software, crawler software, screen swiping software, or other informal means
(6) Obtaining Bi123 membership services through improper means or behavior that violates the principle of good faith
If any of the following situations occur, Bi123 has the right to interrupt or terminate one or more or all of the services provided to you without notifying you based on the actual situation, and any losses arising from this shall be borne by you. Bi123 does not need to provide any compensation or refund. If any losses are caused to Bi123 or a third party as a result, you shall be responsible for full compensation:
(1) The personal information you provided is untrue or inconsistent with the information at the time of registration, and reasonable proof has not been provided
(2) It is confirmed by effective legal documents from national administrative or judicial authorities that you have engaged in illegal or infringing behavior, or Bi123, based on its own judgment, believes that your behavior is suspected of violating the Bi123 User Agreement, Bi123 Privacy Terms, the content of this agreement or the usage rules published by Bi123, or is suspected of violating the provisions of laws and regulations
(3) Your behavior interferes with the normal operation of any part or function of Bi123
(4) You use Bi123 to engage in activities without Bi123's consent, including but not limited to commercializing information obtained through Bi123, such as additional advertisements, commercial content, or links
(5) Your personal information or published content violates national laws and regulations, violates social ethics, public order and good customs, infringes on the legitimate rights and interests of others, has a strong political color, causes any disputes, or violates the requirements of this agreement and the Bi123 data platform for publicity
(6) You engage in any illegal behavior using Bi123 data.
Article 6 Responsibility Statement
6.1 If you exercise the rights stipulated in this agreement to purchase/accept goods or services provided by third-party merchants other than Bi123, and if a dispute arises as a result, you shall claim rights from the third-party merchant selling/providing the goods or services, which is not related to Bi123
6.2 You shall bear full legal responsibility for all actions taken by yourself and the guests you invite when participating in activities organized by Bi123 or using various discounts and value-added services provided by Bi123
6.3 Bi123 shall not be liable for any losses incurred by you due to the actions or omissions of third parties, including but not limited to payment services, network access services, communication line failures in telecommunications departments, communication technology issues, network or computer failures, system instability, and infringement by any third party
6.4 You understand and agree that during the use of Bi123 membership service, there may be risk factors such as force majeure that may cause interruption of the service. If the above situation occurs, Bi123 promises to cooperate with relevant units for repair as soon as possible, but will not bear any losses caused to you and will not refund Bi123 membership fees
Article 7 Other Provisions
7.1 Service Suspension, Interruption, and Termination: Bi123 may choose to suspend, interrupt, and terminate its membership services due to changes in relevant laws, regulations, normative documents, its own business decisions, government actions, and force majeure. If such a situation occurs, Bi123 will notify you in the form of an announcement, but will not bear any losses caused to you and will not refund Bi123 membership fees
7.2 Law and Dispute Resolution: This agreement shall be governed by Hong Kong law and shall exclude the application of all conflict of laws provisions. If there is a dispute, you and Bi123 unanimously agree to submit the dispute to a court with jurisdiction in the Hong Kong Special Administrative Region for arbitration.
7.3 Failure of Bi123 to exercise, timely exercise, or fully exercise its rights under this agreement or in accordance with legal provisions shall not be deemed a waiver of such rights, nor shall it affect Bi123's future exercise of such rights
7.4 Bi123 membership service is non refundable upon purchase.
